Terms & Conditions

1. Engagement & Scope of Work

All engineering engagements, including web applications, Flutter/React Native mobile apps, custom database schemas, AI integrations, and cloud infrastructure setups, are executed pursuant to a formally approved Scope of Work (SOW) or Statement of Requirements.

Any alteration, feature addition, or architectural redesign beyond the agreed milestone scope will be treated as a Change Request (CR) with mutually agreed cost and timeline adjustments.

2. Milestone Billing & Invoicing

We practice transparent, milestone-driven billing to protect institutional interests for both parties:

• Phase Sign-Offs: Project billing is staged across Discovery, Prototype Validation, Development Milestones, and Final Production Deployment.
• Tax Invoicing: Official GST tax invoices are generated under U72900UP2024PTC198242 with statutory compliance.
• Settlement Timelines: Invoices are payable within 15 calendar days of issuance unless otherwise documented in a Master Service Agreement (MSA).

3. Intellectual Property Rights (IP)

Upon settlement of final contractual payments, 100% intellectual property ownership of the custom codebase, graphics, database schemas, and configuration assets created for the client transfers entirely to the client.

StayMitra Technologies Private Limited retains ownership of pre-existing core libraries, boilerplates, and developer tooling utilized in system fabrication.

4. Bilateral Non-Disclosure & Confidentiality

Both parties agree to hold all proprietary trade secrets, user data, source code, business workflows, and financial information in strict confidence under binding Non-Disclosure terms. Neither party shall disclose confidential project assets without explicit written authorization.

5. Post-Deployment Warranty & SLA Support

All custom deployments receive complimentary 30-day production warranty coverage against functional defects originating from our development. Extended service level agreements (SLAs), monthly DevOps monitoring, and database management are supported under optional maintenance contracts.

6. Governing Law and Arbitration

These terms and all commercial engagements shall be governed and interpreted under the laws of the Republic of India.

In the event of any commercial disagreement or dispute, both parties agree to resolve the matter first through amicable executive discussions. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of Jhansi, Uttar Pradesh, India.
